Please read these terms carefully before installing or using Synthetiq.
You get a license to use Synthetiq while you have a valid account or license.
Synthetiq is BYOK and MCP-native: your API keys stay on your device; you connect directly to third-party model and service providers; we don't proxy requests, can't see your prompts or outputs, and don't know which providers you use.
We perform license verification and collect minimal technical data for security and diagnostics — never your content. See our Privacy Policy for details.
You're responsible for third-party providers' terms, billing, and data practices.
The App and any AI outputs can be wrong; don't use for high-risk purposes.
These Terms limit our liability and include dispute provisions, a class action waiver, and a jury trial waiver.
If you don't agree, don't install or use the App.
App: The Synthetiq desktop software, including the application builder, workflow engine, Org App Store, and any bundled components.
BYOK (Bring Your Own Key): You supply and control your own API keys and credentials for third-party services. We never have access to them.
MCP-native: The App uses a Model Context Protocol architecture for local tools and connectors so your device talks directly to your chosen providers; our servers are not in the data path for your prompts or outputs.
Third-Party Providers: Model, embedding, vector, data, API, or tool providers you choose to connect to with your own credentials (e.g., OpenAI, Anthropic, Azure, databases, SaaS tools like Salesforce, HubSpot, QuickBooks).
Org App Store: Synthetiq's internal app catalog that enables sharing and distributing applications within your organization.
Services: The services we provide to you through the Synthetiq platform as described in these Terms.
To use the App, you must be at least 18 years of age (or the age of majority in your jurisdiction) and have the legal capacity to enter into a binding agreement. The App is not directed to or intended for use by individuals under 18. If we learn that a user is under 18, we will promptly terminate their account.
By installing, accessing, or using the App, you accept these Terms. If an organization provides your license, you confirm you are authorized to bind that organization to these Terms.
When you create an account, you agree to provide accurate information, keep your password secure and confidential, and not share your account credentials with any other person. You are responsible for all activities that occur under your account. You may not create multiple accounts to circumvent plan limits. Notify us immediately at security@synthetiq.com of any unauthorized use.
Subject to these Terms and an active license, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the App on devices you own or control, solely for your personal or internal business purposes. This license does not include the right to sublicense, resell, redistribute, or make the App available to third parties as a service.

To prevent misuse and manage entitlements, the App verifies your license at sign-in and periodically thereafter. We may collect information strictly necessary for this purpose, such as:
If verification fails, the App may enter a limited mode or cease functioning until resolved.
Local custody. Your API keys and credentials are stored locally (e.g., OS keychain or encrypted storage) and are never transmitted to Synthetiq Labs.
Direct connections. Prompts, inputs, outputs, model calls, database queries, and tool invocations are sent directly from your device to Third-Party Providers. We do not proxy, inspect, store, or log this content.
No visibility. We do not know which providers or tools you connect, what you send, or what you receive, except what you choose to share with our support team.
Your responsibility. You are solely responsible for:
Your data. You retain ownership of your own data, configurations, credentials, and any content you independently create and input into the App.
Generated code. Applications, workflows, services, and components built using Synthetiq contain code and components generated by the Synthetiq platform. You are granted a license to use, deploy, and operate these applications while you maintain an active Synthetiq license. Synthetiq Labs retains intellectual property rights in the underlying platform, generated code patterns, and auto-generated components. The specific terms governing use of generated code after license termination may be addressed in your service agreement; absent a separate written agreement, your right to use generated code is coextensive with your active license.
Your responsibility. You are solely responsible for:
No guarantees. Synthetiq does not guarantee that auto-generated components (including authentication, RBAC, row-level security, REST APIs, MCP servers, and documentation) are suitable for any specific regulatory, compliance, or security requirement.
Non-exclusivity. You acknowledge that the App may generate similar or identical code, components, and patterns for other users. Nothing in these Terms grants you exclusive rights to any output generated by the App.
Publishing. When you publish an application to the Org App Store, you represent that you have the right to distribute that application and that it complies with these Terms and your organization's policies.
Local execution. Applications installed from the Org App Store run locally on each user's machine. Synthetiq does not host, proxy, or have access to the data processed by shared applications.
Dependencies. The Org App Store automatically resolves and distributes application dependencies. You are responsible for ensuring that shared dependencies (including connected services and credentials) are appropriately configured for recipients.

Except to the extent this restriction is prohibited by applicable law, you will not (and will not permit any third party to) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying algorithms, file formats, or non-public APIs of the App, nor circumvent, remove, or bypass any technological protection or license-enforcement measures.
If you are permitted by law to decompile for interoperability or error correction, you must first request from us the information reasonably necessary to achieve such interoperability; we may provide it subject to reasonable conditions.
This Section does not restrict rights under licenses for any open-source components included with the App.
Security Research Safe Harbor. Good-faith security research that (i) complies with our Coordinated Vulnerability Disclosure Policy, (ii) avoids accessing personal data or user content, and (iii) does not disrupt services is permitted to the extent allowed by law. Report vulnerabilities to security@synthetiq.com.
Updates. We may provide updates or patches that the App can download and install. Some updates may be required to continue use. Updates may change or remove features. We will provide reasonable notice of material changes when possible.
Service modifications. We reserve the right to modify, suspend, or discontinue any part of the App or Services at any time. We will make commercially reasonable efforts to provide advance notice of material changes or discontinuations. We will not be liable for any modification, suspension, or discontinuation of the App or Services.
Providers. Your use of Third-Party Providers is governed by their own terms, privacy policies, and billing. We are not a party to those relationships and are not responsible for provider content, availability, billing, or data practices.
Open Source. The App may include open-source components governed by their respective licenses. Copies of applicable open-source notices and licenses are provided within the App.
Fees. You agree to pay applicable fees for your App plan or license and any applicable taxes. Third-Party Provider fees (e.g., model usage, database hosting, cloud deployment costs) are separate and payable directly to the respective provider.
Auto-renewal. If you purchase a subscription, it will automatically renew at the end of each billing period (monthly or annual) unless you cancel before the renewal date. You authorize us to charge your designated payment method for renewal fees.
Cancellation. You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period. You will retain access through the remainder of your paid period.
Refunds. Subscription fees are non-refundable except (i) as required by applicable law, (ii) if we terminate your account without cause, in which case we will provide a pro-rata refund for the unused portion, or (iii) as otherwise stated in a separate written agreement.
Price changes. We may change our pricing with at least 30 days' notice. Price changes apply at the start of the next billing period following the notice.
AI-generated and tool outputs may be inaccurate, incomplete, biased, or unsuitable for certain uses. The App does not provide professional advice (legal, medical, financial, or otherwise). You must independently validate all outputs and apply human judgment before relying on them.
The App is not designed for life-critical or high-risk environments, including but not limited to medical diagnosis or treatment, autonomous vehicles, aviation, nuclear facilities, emergency response, or legal compliance determinations. You must not use the App or applications built with it where failure could lead to death, personal injury, or severe environmental or economic harm.
Our intellectual property. Synthetiq Labs Inc. and its licensors own the App, including all intellectual property rights in the platform, tools, and auto-generated components. You retain ownership of your content, configurations, and applications you build.
Feedback. If you voluntarily provide feedback, suggestions, or ideas, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use that feedback to improve the App and our services. You are under no obligation to provide feedback.
We may label some features "beta," "preview," or similar. Beta features are provided "as is," may be rate-limited, changed, or discontinued at any time, and may be subject to additional terms. Beta features are not covered by any service level commitments.
We collect only what is needed for accounts, license verification, platform security, and diagnostics. We do not collect your prompts, outputs, files, application data, or information about which Third-Party Providers you connect. See our Privacy Policy for full details.
We respect the intellectual property rights of others and expect our users to do the same. If you believe that content available through the App or Org App Store infringes your copyright, you may submit a notification pursuant to the Digital Millennium Copyright Act (DMCA) to:

Your notice must include: (i) identification of the copyrighted work, (ii) identification of the infringing material and information sufficient to locate it, (iii) your contact information, (iv) a good-faith belief statement that the use is not authorized, (v) a statement under penalty of perjury that the information is accurate and you are authorized to act on behalf of the copyright owner, and (vi) your physical or electronic signature.
We may remove or disable access to allegedly infringing content and may terminate accounts of repeat infringers.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
We do not warrant that the App will be uninterrupted, error-free, or free of harmful components, or that AI-generated outputs will be accurate, complete, or suitable for any purpose.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER SYNTHETIQ LABS INC. NOR ITS SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE APP.
OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE APP WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO SYNTHETIQ LABS FOR THE APP IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) USD $100.
These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.
You will defend, indemnify, and hold harmless Synthetiq Labs Inc. and its officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
You must comply with all applicable export control and sanctions laws, including U.S. Export Administration Regulations (EAR) and Office of Foreign Assets Control (OFAC) regulations. You will not use, export, or re-export the App to embargoed jurisdictions or prohibited parties.
The App and documentation are "Commercial Products" as defined in applicable federal acquisition regulations. Government end users acquire only those rights set forth in these Terms.
These Terms remain in effect while you have a valid license or account.
Termination by you. You may terminate your account at any time by contacting us or using your account settings. Termination does not entitle you to a refund of prepaid fees except as described in Section 15.
Termination by us. We may suspend or terminate your access for material breach, fraud or misuse, legal risk, or non-payment. We will provide reasonable notice when possible.
Effect of termination. Upon termination, your license ends and you must cease use of the App and delete all copies. We will provide a reasonable opportunity to export your data before deletion. Sections that by their nature should survive termination will survive, including Sections 8, 9, 12, 16–18, 21–25, and 28–30.
Inactive accounts. Accounts that have been inactive for 12 months or more may be subject to deletion. We will provide notice before deleting an inactive account.
We may update these Terms from time to time. For material changes, we will provide reasonable notice (e.g., in-app notification or email). Your continued use of the App after the effective date of changes constitutes acceptance of the updated Terms. If you do not agree to changes, you must stop using the App.
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles.
Informal resolution. Before filing a formal dispute, you agree to contact us at security@synthetiq.com to attempt informal resolution. You agree to wait at least 60 days after sending notice before initiating arbitration.
Arbitration. Any disputes not resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration shall take place in Delaware, and judgment on the award may be entered in any court of competent jurisdiction.
Class action waiver. YOU AGREE TO RESOLVE DISPUTES WITH US ON AN INDIVIDUAL BASIS AND WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS, CONSOLIDATED ACTIONS, OR CLASS ARBITRATION, TO THE EXTENT PERMITTED BY LAW.
Jury trial waiver. TO THE EXTENT PERMITTED BY LAW, BOTH YOU AND SYNTHETIQ LABS WAIVE THE RIGHT TO A JURY TRIAL FOR ANY DISPUTES ARISING OUT OF OR RELATED TO THESE TERMS.
Equitable relief. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.
Arbitration opt-out. You may opt out of the arbitration and class action waiver provisions by sending written notice to security@synthetiq.com within 30 days of first accepting these Terms. If you opt out, disputes will be resolved in the state or federal courts located in Delaware.
Entire agreement. These Terms, together with the Privacy Policy and any applicable service agreements, constitute the entire agreement between you and Synthetiq Labs Inc.
Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
No waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
Assignment. You may not assign your rights under these Terms without our prior written consent. We may assign our rights to an affiliate or in connection with a merger, acquisition, or reorganization without restriction.
Force majeure. We shall not be liable for delays or failures in performance resulting from circumstances beyond our reasonable control.
Notices. We may provide notices to you via email, in-app notification, or through the App. Notices to us should be sent to security@synthetiq.com.
Publicity. We may identify you as a Synthetiq customer on our website and in marketing materials, using your name and logo. You may opt out by sending written notice to security@synthetiq.com.
